These Terms of Service are a legal agreement between you and Seli Trading Company. They govern your use of the Seli app and website - including buying, selling, escrow payments, the Seli Pilot delivery network, and Shemi AI. Please read them carefully.
By creating an account, downloading the app, browsing the website, or otherwise using the Services, you agree to these Terms of Service (the "Terms") and our Privacy Policy. If you do not agree, please do not use the Services.
These Terms form a binding contract between you and Seli Trading Company ("Seli", "we", "us", "our"), a company registered in Nigeria. The "Services" mean the Seli mobile application, the seli.com.ng website, and all related features, including the marketplace ("Seli Market"), the delivery network ("Seli Pilot") and the AI listing assistant ("Shemi AI").
Where these Terms mention "you", they apply to you as a buyer, a seller/merchant, a pilot, a guest visitor, or any combination of those roles. Some sections apply only to specific roles and are labelled as such.
Seli operates a video-first social commerce platform in Nigeria. Through the Services we provide a range of connected products:
Seli is a marketplace facilitator and technology provider. We are not the owner of the products listed for sale unless the listing expressly says so. The contract for the sale of a product is between the buyer and the seller; Seli provides the platform, escrow and delivery rails that make the transaction safe.
To open a store or register as a pilot, you must complete our verification process, which includes identity and (where applicable) KYC checks. You authorise us and our verification partners to confirm your details. We may refuse, suspend or close accounts where verification fails or where we reasonably believe the account is used for fraud.
You agree to use the Services only for lawful purposes. Without limiting the generality of that obligation, you must not:
We may remove content and restrict or close accounts that breach these rules (see Section 18).
Prices are set by sellers and may change between when you view a product and when you place an order. The price shown at the point of order confirmation is the binding price.
To sell you must open a store and complete verification (Section 3.3). A store that passes verification may be marked as a "Verified Seller". We may verify based on identity documents, bank details, product evidence and account history, and we may pause verification labels if a store's standing changes.
Funds for completed orders are released from escrow automatically 24 hours after delivery confirmation if no dispute is raised (Section 10), minus the Seli commission (currently 5.5% - see Section 9). Net proceeds are paid out automatically once released, generally within 24 hours of release. Payouts require valid linked bank account details; if a payout cannot be delivered, funds are held in your wallet until you correct the details.
Buyer ratings, review content and dispute history contribute to a store's standing, which can affect search placement, verification status and eligibility for features. You must not ask or incentivise buyers to leave positive reviews, or retaliate against buyers who leave negative ones.
Pilots are independent delivery agents, not employees of Seli. To register you must be at least 18, pass our verification (identity, and where applicable transport and character checks), and maintain the credentials we require (for example a valid driver's licence for motorised deliveries).
Your earnings, fees and penalties (if any) are shown in the pilot interface. Fees for jobs accrue to your pilot wallet and can be withdrawn in line with payout rules. We may adjust job pricing, availability and zones from time to time with notice where practicable.
As an independent contractor, you are responsible for your own taxes, insurance and compliance with transport regulations. Seli provides a marketplace of delivery jobs, not employment.
Shemi AI is provided as-is and may change as the technology develops. See the disclaimers in Section 15.

We may introduce, change or remove fees, and change commission rates, with reasonable notice through the app, website or email. Fees payable for a transaction already placed are set at the time of that transaction.
Refunds are issued under the Buyer Protection rules in Section 10. Where a chargeback or reversal is initiated through a payment provider, we may deduct the reversed amount, including from any wallet balance or future payouts, and investigate the underlying order.
We may deduct from your wallet balance or payouts any amounts you owe us under these Terms (for example refunds, chargebacks or recovered fraud), up to the amount owing, and provide you with a statement of the adjustment.
The Services, including all software, design, logos, graphics, text, video effects, trade names and proprietary technology (and the "Seli", "Seli Market", "Seli Pilot" and "Shemi" brands) are owned by Seli or its licensors. You may not reproduce, distribute, modify, or create derivatives of them without our written consent.
If you believe content on the Services infringes your copyright or other rights, contact support@seli.com.ng with enough detail to identify the work and the listing, and we will investigate and take appropriate action.
The following may not be listed, sold, or facilitated on Seli, and doing so is grounds for immediate removal and account closure:
The Services integrate with and link to third-party services, including payment processors, verification providers, analytics, app stores, and external websites. These are provided for convenience and we are not responsible for them. Your use of those services is subject to their own terms and privacy policies.
Transactions that buyers and sellers conduct outside Seli (for example by phone or WhatsApp) are outside these Terms. We encourage keeping transactions on-platform so escrow, tracking and Buyer Protection apply.
To the maximum extent permitted by law, we disclaim all liability for content posted by users and for any reliance you place on user content or AI-generated content.
You agree to indemnify, defend and hold harmless Seli, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents and partners from and against any claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your content or listings; (c) your products and sales; (d) your breach of these Terms; (e) your violation of any law or the rights of any third party; or (f) your transactions with other users, excluding claims caused solely by Seli's gross negligence or wilful misconduct.
We encourage you to resolve issues through our support team and the Buyer Claims process (Section 10) first. Contact support@seli.com.ng and we will work with you to resolve the matter within 30 days.
If informal resolution fails, and except where law requires otherwise, any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration in Lagos, Nigeria, conducted by a single arbitrator appointed under the rules of the Lagos Multi-Door Courthouse or a mutually agreed arbitration institution. The arbitration will be conducted in English, and the arbitrator's award is final and binding. You and Seli each agree to bring claims in your individual capacity and not as a class action.
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. For any matters that are not arbitrable or where arbitration is unavailable, the courts of Lagos State, Nigeria have exclusive jurisdiction. If you are a consumer in a jurisdiction that grants you mandatory protections, those protections are not displaced by this section.
We may update these Terms from time to time. When we do, we will update the "Last updated" date, notify you in the app or by email for material changes, and give you a reasonable period to review before the new Terms take effect. Continuing to use the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Services before the effective date.
